Conditions the Office imposed and actions required of WILCAC as part of approval:
ALL of the following
- WILCAC certifies that all policy forms previously utilized by Wilco in Florida comply with applicable provisions of the Florida Insurance Code and that the only prospective changes required are substitution of the name WILCAC in lieu of Wilco and changes to name, address, or logo.
- WILCAC shall mail to each of its insureds a copy of the Merger/Name Change Endorsement (form WCAC21P001, attached as Exhibit A).
- WILCAC may continue to sell previously approved old policy forms with the Merger/Name Change Endorsement affixed for 90 days after the Consent Order is executed by the Office; during that 90-day period WILCAC shall reprint the policy forms listed in Exhibit B with the new corporate name; after 90 days WILCAC shall only sell policy forms containing the new company name.
- WILCAC shall pay administrative costs in the amount of $3,000 within 30 days of the date this Consent Order is executed by the Office and shall send payment to the address on the attached invoice.
- WILCAC shall continue to comply with all statutes and applicable rules of the Office governing form filings and rate filings; failure to adhere may result in suspension, revocation, or other administrative action against WILCAC’s Certificate of Authority in Florida.
- WILCAC expressly waives a hearing and all rights to contest this Consent Order and agrees to be bound by its terms; the Consent Order is deemed executed when the Office executes a copy bearing WILCAC’s authorized representative signature (which may be transmitted electronically) and the signature shall be under notary seal.

Required Notices, Transitional Sales, and Form Listings
Mail endorsement to insureds; limited 90‑day transitional sales authorization
WILCAC must mail a copy of the Merger/Name Change Endorsement to each insured; may continue to sell previously approved Wilco policy forms only if the Merger/Name Change Endorsement is affixed, and only for 90 days after the Consent Order is executed by the Office. During that 90‑day period WILCAC shall reprint the listed policy forms to contain the new corporate name; after 90 days WILCAC may only sell policy forms bearing the new company name and is not authorized to sell previously approved policies containing the old information with the endorsement affixed.
- Mail the Merger/Name Change Endorsement to every insured.
- May sell old policy forms with the endorsement for 90 days after Office execution of the Consent Order.
- Reprint listed policy forms with the new corporate name during the 90‑day period.
- After 90 days, only sell policy forms that bear the new company name; selling old forms with the endorsement is prohibited.
